Principal Legal Analyst
A senior legal leadership role responsible for complex corporate transactions, client ownership, and driving scalable, AI-enabled legal excellence.
Description
The Principal Legal Analyst will lead complex, high-value corporate and investment transactions end-to-end, taking full ownership of structuring, drafting, negotiation, and closing. The role involves acting as a trusted legal advisor to clients, translating business objectives into robust legal documentation, and driving excellence through the use of AI-driven legal tools, standardized playbooks, and best-practice workflows. This position also includes mentoring team members, implementing quality controls, and continuously improving legal delivery at scale.
What you’ll do
Deep expertise in high-value corporate and investment transactions, with ability to independently draft, negotiate, and review key documents including Shareholders’ Agreements (SHA), Share Subscription Agreements (SSA), Founders’ / Co-founders’ Agreements, Share Purchase Agreements (SPA), Joint Venture Agreements, Investment Agreements, ESOP policies and related documentation and Ancillary and closing documentation (CP/CS checklists, resolutions, disclosures, etc.)
Leading and managing end-to-end transaction workflows, including structuring, documentation, negotiation support, and closing.
Strong client relationship ownership, including ability to understand business objectives and translate them into legal documentation and processes.
Experience leveraging AI-driven legal drafting, diligence automation, and document intelligence tools to enhance accuracy and scalability.
Ability to guide teams, implement quality controls, and drive continuous improvement of templates, playbooks, and legal workflows and best-practice development within the legal services function.
Qualifications
Valid law degree and license to practice in India.
Work Experience: 8–11 years of demonstrated experience
